Company Information

The name chosen must be followed by "Incorporated", "Corporation", "Limited" or an abbreviation thereof ("Inc.", "Corp.", "Ltd."). Please note that once the organizing document is filed with the State, the name of the company cannot be changed without a new filing (and related filing fees).

The county in which the Company’s primary operations are conducted is generally preferred as the jurisdiction in which disputes involving the Company are adjudicated.
All corporations formed in a State must maintain a registered agent in that State. The agent may be either an individual resident in the State or a corporate agent qualified to do business in the State.

One of the Founders should be chosen to act as incorporator, a position which is needed only for the initial filings. Please note that directors should be formally elected and shares issued before the company takes any action, as the incorporator could be held liable for corporate actions taken before such time.

Shares

Sufficient common shares should be authorized to cover all shares that will be issued to the Founders plus shares that may be issued in the future, such as under an equity incentive plan or other anticipated near-term issuance. Increasing the number of shares after incorporation will require an amendment to the organizing documents (and related filing fees), so a cushion should generally be included. We typically recommend authorizing 10 million shares at incorporation.

Directors

The corporation must have one or more directors. For early-stage companies, fewer directors and an odd number are usually better. A larger board generally makes necessary director approvals more difficult, and an even number creates the potential for deadlock.

Founders

Founders typically include individuals who have contributed significantly to the primary idea behind the proposed business. Each Founder listed will receive common stock under a restricted stock purchase agreement. Assuming you have authorized 10 million shares, we typically recommend allocating a total of 8 million shares among the Founders with the remaining shares authorized but unissued. If you will be authorizing a different number of shares, adjust this allocation accordingly.

Officers

Depending on the circumstances, appointing a Chief Executive Officer may also be advisable, and other officers may also be appointed. One person can serve in more than one officer capacity. At smaller companies, for example, the CEO and President positions are often held by the same person.
