Terms and Conditions

These terms and conditions (“Terms”) are between you (“you” or “your”) and Inspiration Spaceship (“we”, “our”, or “ISS Law”), a law firm licensed in and based in Oregon. By purchasing legal services from ISS Law via our website, blogs, or social media accounts (collectively, our “Website”), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you purchase a subscription legal services plan your purchase is also subject to, and you agree to be bound by, the Supplemental Terms and Conditions for Automatic Renewal Services (the “Supplemental Terms”).

Eligibility Requirements.

Your purchase of legal services via our Website is expressly conditioned upon our determination that our representation of you does not create a conflict of interest with any current client, former client, or prospective client of ISS Law. We will determine, in our sole discretion, whether a conflict exists, and, if so, notify you that we cannot accept your purchase or act as your attorney. In the event that your credit card is charged by us before we determine that a conflict exists, we will promptly refund the charge.

Conflict Waiver.

If ISS Law determines that a conflict exists but may be waived under applicable Rules of Professional Conduct, we will contact you at the email address you provide during your purchase. No attorney-client relationship between you and ISS Law will exist until we obtain a waiver from each affected client. Any conflict waiver will require: (a) written disclosure to all necessary parties of the relevant circumstances and material risks of such conflict; and (b) each affected client’s informed written consent.

Attorney-Client Relationship.

No attorney-client relationship between you and ISS Law will be formed, and we will have no obligation to provide legal services, until we determine that you are eligible for representation and you have made payment. Representation will be limited to our providing the specific legal services you have purchased. If you cancel any such services, the attorney-client relationship will end with respect to the cancelled services the services you have purchased, to the extent reasonably permitted by applicable Rules of Professional Conduct. Any representation thereafter will be limited to our providing the remaining uncancelled services.

Non-Oregon Residents.

Representation by ISS Law of non-Oregon residents will be limited to copyright, trademark, and other matters arising solely under federal law.

Changes.

We may revise these Terms, the Supplemental Terms, and/or our Privacy Policy from time to time. If we make any material change, we will notify you at the email address you provide during your purchase, provide you with a clear and conspicuous notice of such change, and provide information regarding how to cancel. We may revise these Terms, the Supplemental Terms, and/or our Privacy Policy from time to time. No Guarantee.

We will make every effort to perform the legal services you purchase to the highest legal and ethical standards. You acknowledge that ISS Law has made no promises or guarantees concerning the outcome of any matter and that nothing in the Terms or Supplemental Terms will be construed as such a promise or guarantee.

Waiver.

Our failure to enforce a provision of these Terms, the Supplemental Terms, and/or our Privacy Policy will not be deemed a waiver of our right to do so.

Severability.

If any provisions of these Terms, the Supplemental Terms, and/or our Privacy Policy are found unenforceable, the remaining provisions will remain in full effect, and enforceable terms will be substituted reflecting ISS Law’s intent as closely as possible.

Assignment.

You may not assign any of your rights under the Terms and/or Supplemental Terms, and any such attempt to do so will be void. ISS Law may assign its rights to any to any successor in interest.

Dispute Resolution; Jurisdiction; Venue.

If any dispute arises out of or relates to your purchase and/or use of any ISS Law legal services, the parties will first try to resolve the dispute informally. If the dispute cannot be so resolved, then as a condition to your purchase, you agree to resolve such dispute through binding arbitration under the auspices of JAMS Alternative Dispute Resolution before a single arbitrator in Portland, Oregon. Any resulting judicial proceedings must be brought in the federal or state courts of the State of Oregon, and you expressly consent to the personal jurisdiction of, and venue in, such courts.

Governing Law.

The Terms and Supplemental Terms will be governed by, and interpreted under, Oregon law except for its conflicts of laws rules.

Entire Agreement.

The Terms and the Supplemental Terms are the parties’ final agreement regarding the subject matter described herein, and supersede any prior or contemporaneous discussions, agreements, or terms and conditions applicable to such subject matter.

Supplemental Terms and Conditions for Automatic Renewal Services.

These Supplemental Terms and Conditions for Automatic Renewal Services (the “Supplemental Terms”) cover your use of and access to certain services, products, software, platform, and websites under a subscription legal services plan (“Solo Legal Flight Plan” or “Studio Legal Flight Plan“, each, a “Flight Plan” ) and/or trademark monitoring services plan (“TM Monitoring”)(each, “Subscription Services”) provided by ISS Law. By purchasing Subscription Services, you agree to be bound by these Terms, the Supplemental Terms, and our Privacy Policy. If you purchase Subscription Services as an employee or agent of an entity or person, you are agreeing to these Terms, the Supplemental Terms, and our Privacy Policy on behalf of that entity or person.

You must be the legal age of majority in your state of residence or otherwise able to form a binding contract to purchase and/or use Subscription Services.

Subscription Charges, Payments, and Refunds

Your purchase of Subscription Services requires a valid credit card. By purchasing Subscription Services, you authorize ISS Law to charge your credit card a recurring monthly subscription fee or annual subscription fee, as applicable (each, a “Subscription Fee”), until you cancel. Your Subscription Fee is exclusive of all federal, state, municipal, or other taxes, which you agree to pay based on where you are primarily domiciled. In addition to Subscription Fees, you may incur charges incidental to using Subscription Services, including without limitation charges for Internet access, data roaming, and other data transmission charges. Your Subscription Services will continue until you cancel as provided in our Cancellation Policy. Monthly subscribers will be charged the applicable Subscription Fee in advance each 30 days following the initial charge. Annual subscribers will be charged the applicable Subscription Fee annually on the anniversary date of the initial charge. Your Subscription Fee is a retainer to secure your attorney’s availability over the applicable period and is deemed earned when received. It will be deposited into ISS Law’s general fund, not a lawyer trust account.

Subscription Services Features.

Subscription Services include the following:

Access to Check-In.

You may login to ISS Law’s secure private client portal for convenient access to your matter details and other functions.

Unlimited Private Attorney Messages.

Using Check-In, you may exchange unlimited secure electronic messages with your ISS Law attorney and/or staff.

Fee Discount.

If you engage ISS Law for legal services that are outside the scope of, and not included in, Subscription Services, ISS Law will provide such services at the percentage discount from our then-standard rates for representation (“Attorney Fees”) applicable to the Subscription Services you have purchased. If your subscription is to a Solo Legal Flight Plan, you will receive a 15% discount on Attorney Fees for any legal matter other than representation in any litigation case, hearing, mediation, arbitration, trial, appeal, or similar legal proceeding. If your subscription is to a Studio Legal Flight Plan, you will receive a 20% discount on Attorney Fees for any legal matter other than representation in any litigation case, hearing, mediation, arbitration, trial, appeal, or similar legal proceeding. If your subscription is to TM Monitoring, you will receive a 15% discount on Attorney Fees for any legal matter, other than representation in any litigation case, hearing, mediation, arbitration, trial, appeal, or similar legal proceeding, related to the trademark then being monitored under your subscription. Attorney Fees do not include outside expenses such as filing fees, expert witness fees, fees paid to third-party vendors, or similar outside expenses incurred on your behalf.

Subscription Services for Flight Plan Clients

In addition to the above-described features, Subscription Services for clients purchasing a Flight Plan include the following:

Attorney Phone Calls.

Using Check-In, you may schedule telephone consultations, at least 24 hours in advance, during normal business hours, of up to one half-hour each, limited to one consultation per month for each new legal matter. The determination of what constitutes a new legal matter will be made by ISS Law in its sole discretion. Additional consultation on the same legal matter will be billed hourly at ISS Law’s prevailing rate.

Document Review.

Using Check-In, you may upload for review by ISS Law documents equivalent to ten pages of text in regular, 12-point typeface with standard margins (each, a “Document”), limited to review of one Document per month for each new legal matter. ISS Law will provide one telephone consultation about the reviewed Document, during normal business hours, of up to one hour, and advise you on the legal implications of the Document’s provisions and their conformity to state and federal law.

Legal Review.

Once during each year, you may receive a strategic business legal consultation (the “Review”) intended to provide you with (a) an assessment of legal documents, strategies, and significant issues in your creative business; (b) an update of any previous review(s) considering changes in your business and applicable law; and (c) recommendations. The Review will include one telephone consultation, during normal business hours, of up to one hour, and a written summary of the consultation and any recommendations.

Limited Scope of Representation.

You understand that Subscription Services are limited representation and differ from full-service representation, which would generally include full investigation of all relevant facts and law, analysis, advice, and counsel on all relevant legal issues, negotiations with third parties, and documentation of every action taken. The scope of representation will not include services other than or additional to Flight Plan Services unless agreed to separately in writing signed by you and ISS Law.

Trial Offers.

You may subscribe to a Flight Plan, including full use of Flight Plan Services, on a trial basis for seven days. You may cancel or downgrade your trial at any time before the end of the seven-day trial period. If you cancel, you will not be charged. Otherwise, you will automatically subscribe to the paid Flight Plan you have chosen at the end of the Flight Test, and your credit card will be charged as set forth above.

Cancellation Policy.

You may cancel Subscription Services at any time and receive a prorated refund for the time remaining by logging into your “My Account” page and using the “Cancel” button below your subscription’s details. If you have access to Check-In, ISS Law’s secure online client portal (“Check-In”, you may also cancel by logging in and sending an electronic message to ISS Law with your cancellation request.

Confidentiality.

ISS Law will keep confidential all information and/or documents that come into our possession due to our rendering Subscription Services to you hereunder. ISS Law will disclose such information only as may be necessary to protect and/or enforce our rights hereunder, or as may be permitted and/or required by law. ISS Law may provide Subscription Services including communicating with you, receiving documents uploaded by you, and transmitting documents to you via digital messaging, email, and/or cell phone to provide you with efficient and convenient services. You understand that there may be confidentiality and/or security risks related to communicating and exchanging documents in this manner, such as misrouting or interception resulting in inadvertent disclosure of confidential information. By purchasing Subscription Services, you consent to the use of such technologies in connection with our representation of you thereunder.

Termination.

ISS Law, in its sole discretion, may downgrade or terminate your access to Subscription Services, for any reason and at any time without prior notice. If ISS Law elects to downgrade or terminate your access, ISS Law will provide you with notice at your registered email address. ISS Law may also modify or discontinue, either temporarily or permanently, any Subscription Services with notice, to the extent reasonably permitted by applicable Rules of Professional Conduct.
